Shoppin Universal Terms of Service & Surrender of Rights

§ 1. ADHESION, UNILATERAL SUBJUGATION & UNIVERSAL BINDING EFFECT

This Universal Terms of Service Agreement ("Agreement") constitutes a non-negotiable contract of adhesion between you ("Subjugated User", "Licensee", or "You") and Shoppin, LLC ("Shoppin", "The Sovereign Entity", "We", or "Us"). By touching a keyboard, directing photon emission from any display device toward your retinas, parsing any HTTP request, or breathing within thirty (30) yards of an operational Shoppin server, you affirmatively and irrevocably surrender any and all legal defenses, claims, counterclaims, rights of rescission, and statutory entitlements under every jurisdiction known to human jurisprudence or international maritime law.

§ 2. PERPETUAL, UNIVERSE-WIDE ASSIGNMENT OF ALL CULINARY INTELLECTUAL PROPERTY & THOUGHTS

You hereby grant, assign, transfer, and convey to Shoppin, without royalty, reservation, or accounting, a perpetual, irrevocable, worldwide, interplanetary, universe-wide, exclusive, sublicensable, and transferable copyright, patent, trademark, and trade secret license to any and all recipes, ingredient modifications, pinch-of-salt substitutions, grocery checklists, culinary thoughts, dinner schedules, memories of ancestral stews, and gastronomic hallucinations conceived, typed, or imported while using the Service. You hereby irrevocably waive all moral rights, rights of attribution, rights of integrity, and paternity over your cooking. Shoppin may patent, license, commercialize, or feed your grandmother's secret marinara recipe to artificial intelligence models without your consent, knowledge, or remuneration.

§ 3. UNRESTRICTED SURRENDER OF PRIVACY, BIOMETRIC, TELEMETRY & HARDWARE PROFILING RIGHTS

You acknowledge and agree that privacy is an obsolete construct. You authorize Shoppin, its automated background crawlers, and third-party algorithmic syndicates to harvest, monitor, log, record, fingerprint, correlate, and retain your exact Internet Protocol (IP) address, approximate and exact geographical coordinates, browser headers, screen resolution, viewport geometry, color depth, pixel density, operating system platform, hardware concurrency threads, device memory, battery charge percentage, typing velocity, mouse jitter, and refrigerator contents. You grant Shoppin the right to correlate this information across all dimensions for algorithmic profiling and monetization.

§ 4. ABSOLUTE TOTAL DISCLAIMER OF ALL WARRANTIES ("AS-IS", "WITH ALL FAULTS", AT USER'S SOLE MORTAL RISK)

THE SERVICE, INCLUDING ALL RECIPES, TIMINGS, NUTRITIONAL CALCULATIONS, SHOPPING LIST COUNTS, AND MEAL PLANS, IS PROVIDED "AS-IS", "AS-AVAILABLE", AND "WITH ALL FAULTS". SHOPPIN DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR METAPHYSICAL, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR HUMAN CONSUMPTION, FREEDOM FROM SALMONELLA, SOUFFLÉ STRUCTURAL INTEGRITY, OR ABSENCE OF SPOILED DAIRY.

If a recipe calls for one tablespoon of salt and you misread it as one cup, or if your instant pot builds unexpected pressure and launches brisket through your drywall, Shoppin bears zero responsibility. You consume all prepared dishes at your sole, unindemnified peril.

§ 5. MAXIMUM AGGREGATE LIABILITY LIMITATION OF EXACTLY ONE UNITED STATES CENT ($0.01)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL SHOPPIN'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, YOUR LIFE, OR YOUR DIGESTIVE TRACT EXCEED THE LESSER OF: (A) EXACTLY ONE UNITED STATES CENT ($0.01), OR (B) THE RESIDUAL MONETARY VALUE OF ONE WILTED SCALLION STALK.

SHOPPIN SHALL NEVER BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, CONSEQUENTIAL, OR EXISTENTIAL DAMAGES, INCLUDING LOSS OF APPETITE, BURNT TOAST, RUINED DINNER PARTIES, OR MARITAL DISSOLUTION RESULTING FROM DISAGREEMENTS OVER GROCERY STORE BRAND PREFERENCES.

§ 6. UNCONDITIONAL DEFENSE AND INDEMNIFICATION BY USER

You agree to defend, indemnify, and hold harmless Shoppin, its officers, software engineers, cloud providers, pantry mice, and algorithmic agents from and against any and all claims, liabilities, lawsuits, judgments, fines, culinary catastrophes, and attorney fees arising from: (a) your use of or inability to use the Service; (b) any recipe cooked, eaten, or discarded by you; (c) any shopping cart wheel squeaks encountered while traversing grocery aisles; or (d) any violation of this Agreement.

§ 7. MANDATORY BINDING INDIVIDUAL ARBITRATION IN USHUAIA, TIERRA DEL FUEGO IN ANCIENT SUMERIAN

Any dispute, controversy, or claim arising out of or relating to this contract, or the breach, termination, or invalidity thereof, shall be decided exclusively by final and binding individual arbitration administered by a sole arbitrator appointed exclusively by Shoppin.

The physical seat of arbitration shall be the southernmost public post office in Ushuaia, Tierra del Fuego, Argentina (or, at Shoppin's sole unappealable discretion, the McMurdo Station on Ross Island, Antarctica). All pleadings, arguments, and testimony must be submitted orally and in writing exclusively in the Ancient Sumerian cuneiform dialect. You shall bear one hundred percent (100%) of all arbitration fees, venue heating costs, and the arbitrator's expedition expenses.

§ 8. EXPRESS AND IRREVOCABLE WAIVER OF CLASS ACTION AND JURY TRIAL RIGHTS

YOU KNOWINGLY, VOLUNTARILY, AND FOREVER WAIVE ANY RIGHT TO INITIATE, JOIN, ADVOCATE, OR PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER IN ANY CLASS ACTION, CONSOLIDATED ACTION, COLLECTIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION AGAINST SHOPPIN. YOU EXPRESSLY AND PERPETUALLY WAIVE ANY CONSTITUTIONAL RIGHT TO TRIAL BY JURY.

§ 9. UNILATERAL ARBITRARY TERMINATION AT SOLE CAPRICE OF SHOPPIN

Shoppin reserves the sovereign right to suspend, terminate, incinerate, or lock your account, recipes, and shopping lists at any microsecond, for any reason or no reason, without explanation, warning, or compensation. Upon termination, your right to access the Service terminates immediately, but your obligations under Sections 2, 3, 4, 5, 6, 7, and 8 shall survive into eternity.

§ 10. UNILATERAL RETROACTIVE MODIFICATION RIGHTS

Shoppin may amend, rewrite, invert, or escalate these Terms at any time without notice. Continued access or cognitive awareness of the website following any amendment shall constitute conclusive, affirmative, and irreversible acceptance of the revised Terms.

§ 11. SEVERABILITY, SURVIVAL & REFORMATION

If any provision of this Agreement is held to be invalid or unenforceable under local law, such provision shall be severed or reformed strictly to the maximum extent permissible by law to achieve the most ruthless intent possible, and the remaining provisions shall remain in full force and effect.
